1. Introduction & Agreement
Welcome to Gated. These Terms and Conditions ("Terms") govern your use of the Gated software platform, including the Gated Admin Platform, Gated Resident App, and Gated Access Manager (collectively, the "Service"), provided by Gated ("we," "us," or "our").
By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service. These Terms apply to all users, including residents, community administrators, property managers, and security personnel.
2. User Accounts
To use the Service, you must be registered by your community's administrator. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate and complete. You are responsible for safeguarding your account credentials and for any activities or actions under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
3. Use of the Service
Gated grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose as a community and property management tool. You agree not to use the Service for any unlawful purpose or in any way that could harm, disable, overburden, or impair the Service.
Prohibited activities include, but are not limited to:
- Using the Service for any commercial purpose outside the scope of community management.
- Attempting to gain unauthorized access to any part of the Service or its related systems.
- Uploading or transmitting viruses, malicious code, or any other material that is technologically harmful.
- Posting content that is unlawful, defamatory, obscene, fraudulent, or infringes on the rights of others.
4. Community Administrator Responsibilities
If you are a Community Administrator (e.g., a member of the HOA board, strata corporation, or a designated property manager), you are responsible for managing your community's data within the platform. This includes accurately inputting resident information, managing user roles and permissions, and ensuring that all communications and financial management activities comply with your community's bylaws and applicable laws. You acknowledge that you have the necessary authority to manage and share resident data within the Service as described in our Privacy Policy.
5. Fees and Dues Management
The use of the Gated platform is subject to a service agreement between Gated and your Community Administrator. The Gated Resident App facilitates monthly dues management, allowing residents to view their balances and upload proof of payment. All fees and payment terms are governed by the agreement between Gated and your community's managing body.
6. Intellectual Property
The Service and all its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Gated and its licensors. The Service is protected by copyright, trademark, and other laws of Jamaica and foreign countries. Our trademarks may not be used in connection with any product or service without our prior written consent.
7. User-Generated Content
You are solely responsible for any content you post, upload, or otherwise make available through the Service ("User Content"). By posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and distribute such content in connection with operating and providing the Service to you and your community.
8. Termination
We may terminate or suspend your access to the Service at any time, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.
9. Disclaimer of Warranties & Limitation of Liability
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Gated makes no warranties, express or implied, regarding the operation or availability of the Service or the information, content, or materials included therein. To the fullest extent permissible by law, Gated disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose.
In no event shall Gated, nor its directors, employees, partners, or agents, be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Service.
10. Governing Law
These Terms shall be governed and construed in accordance with the laws of Jamaica, without regard to its conflict of law provisions.
11. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
